Luxembourg company sues over port terminal in Odesa region

The Luxembourg-based company Tzedakah Funds has filed a lawsuit over the terminal in Reni, Odesa region, owned by Kernel.

This was reported by LIGA ZAKON.

The publication claims that the lawsuit is filed by Gennadiy Boholyubov's current or former son-in-law from the entourage of the odious oligarch Ihor Kolomoisky. According to the newspaper, Dmytro Cherniavsky, who has three citizenships (Ukrainian, Croatian and Russian) and who also appears in some registers under the name Dan, uses a Luxembourg company.

In general, the story that turned into a struggle for a critical infrastructure facility began in 2016. It was then that Tzedakah Funds allocated 1.5 million euros as a loan to Janolio Holdings, a company associated with Oleksandr Adarich. The agreements between the legal entities on October 27, 2017, specified a 100% share of Reni-Terminal LLC as a guarantee for the loan repayment.

Tzedakah Funds claims that in 2018 it was not repaid the loan, but at the same time, Remi-Terminal increased its authorized capital by almost UAH 18 million with the involvement of Danube Terminal Service, which is also probably related to Adarich.

By 2021, Nolper Holdings, a Cyprus-registered company, took over 100% ownership of the terminal in Odesa region. In January 2022, Tzedakah Funds tried to exercise the right of a pledgee and registered 100% of the shares for itself. However, in the summer of the same year, the Ministry of Justice of Ukraine upheld Nolper Holdings' complaint and canceled the registration action. Thanks to the decision of the Ministry of Justice, the company from Adaric's orbit regained full control over Reni-Terminal.

So, just 5 months later, the logistics company was bought out by Reni-Oil, whose co-founder was Ihor Adarich, the son of Oleksandr Adarich. However, in 2023, full control over Reni-Oil was transferred to Andriy Verevsky, who owns Kernel. The agroholding bought the company with Reni-Terminal assets for USD 24.8 million. The asset was finally integrated into the structure of the businessman's holding on March 18, 2024. The court case over control of Reni-Terminal is ongoing.
